Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Cyber Alert AI service operated by Cyber Alert, Inc. ("us", "we", "our", "Company"). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Subscriptions

1.1 Cyber Alert AI is a subscription-based service offering protection against cyber threats, including but not limited to phishing attempts, fraud detection, identity theft monitoring, dark web scanning, and related cybersecurity features.

1.2 We offer a trial period of 7 days for $1 ("Trial"). The Trial provides full access to all features of the Service. After the Trial period ends, you will be automatically enrolled in our standard subscription plan unless you cancel before the Trial ends.

1.3 Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected.

1.4 You may cancel your subscription at any time by contacting our customer support or through your account settings. Upon cancellation, your subscription will remain active until the end of your current billing period.

2. Free Trial

2.1 We may, at our sole discretion, offer a Trial for a limited period of time.

2.2 At the end of the Trial period, the applicable subscription fee will be automatically charged using the payment method you provided during registration, unless you cancel prior to the end of the Trial period.

2.3 You may not register for multiple Trial periods for the same Service. We reserve the right to determine Trial eligibility at our sole discretion.

3. Billing and Payment

3.1 Payment for subscriptions must be made using an approved payment method. By providing payment information, you represent and warrant that you are authorized to use the designated payment method.

3.2 If your payment cannot be processed for any reason, we reserve the right to suspend or terminate your access to the Service.

3.3 We may change subscription fees at any time, but will provide reasonable notice before any fee change goes into effect. Continued use of the Service after a fee change constitutes acceptance of the new fees.

3.4 All payments are non-refundable except as expressly stated in these Terms or as required by applicable law.

4. User Accounts

4.1 When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

4.2 You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

4.3 You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

5. Service Functionality and Limitations

5.1 Cyber Alert AI uses artificial intelligence and other technologies to provide protection against various cyber threats. However, no security solution can guarantee 100% protection against all possible threats.

5.2 The Service is designed to provide reasonable protection against known cybersecurity risks, but we do not warrant that the Service will prevent all security breaches, identity theft, fraud, or other cyber attacks.

5.3 The effectiveness of the Service depends on various factors, including but not limited to your internet connection, device specifications, operating system, user behaviors, and the evolving nature of cyber threats.

5.4 We continuously update our systems to address new threats, but there may be delays between the emergence of new threats and the deployment of corresponding protections.

6. User Responsibilities

6.1 You agree to use the Service only for lawful purposes and in accordance with these Terms.

6.2 You agree not to:

• Use the Service in any way that violates any applicable local, state, national, or international law or regulation
• Attempt to probe, scan, or test the vulnerability of the Service or any related system or network
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use the Service to distribute malware, viruses, or other malicious code
• Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• Engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service

7. Intellectual Property

7.1 The Service and its original content, features, and functionality are and will remain the exclusive property of Cyber Alert, Inc. and its licensors.

7.2 The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

7.3 Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Cyber Alert, Inc.

8. Data Collection and Privacy

8.1 To provide the Service, we collect and process personal data as described in our Privacy Policy.

8.2 By using the Service, you consent to the collection and use of information in accordance with our Privacy Policy.

8.3 We implement appropriate technical and organizational measures to protect your personal data, but no method of transmission over the Internet or electronic storage is 100% secure.

9. Termination

9.1 We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

9.2 Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact our customer support to delete your account.

9.3 All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimer of Warranties

10.1 Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

10.2 Cyber Alert, Inc., its subsidiaries, affiliates, and licensors do not warrant that:

• The Service will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The Service is free of viruses or other harmful components
• The results of using the Service will meet your requirements or expectations

11. Limitation of Liability

11.1 In no event shall Cyber Alert, Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

11.2 To the maximum extent permitted by applicable law, our total liability to you for any damages shall not exceed the amount paid by you to Cyber Alert, Inc. for the Service during the twelve (12) months prior to the event giving rise to the liability.

12. Indemnification

You agree to defend, indemnify, and hold harmless Cyber Alert, Inc. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

1. Your use and access of the Service, by you or any person using your account and password
2. A breach of these Terms
3. Your violation of any third-party right, including without limitation any copyright, property, or privacy right

13. Changes

13.1 We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice of any material changes to these Terms.

13.2 By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15. Dispute Resolution

15.1 Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in [Your State], using the English language in accordance with the Arbitration Rules and Procedures of JAMS then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.

15.2 The prevailing party in any arbitration or other proceeding arising under these Terms shall be entitled to receive reimbursement of its reasonable expenses (including reasonable attorneys' fees, expert witness fees, and all other expenses) incurred in connection therewith.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
